| TITLE | The name of the Society shall be the EASTBOURNE SYMPHONY ORCHESTRA, hereinafter referred to as the Society. |
| OBJECTS | To advance the musical education of young persons resident in Eastbourne and district by the provision of the opportunity to play with and experience ORCHESTRAL MUSIC with concerts and such other musical events as the the Committee shall deem suitable.To promote, improve and develop PUBLIC EDUCATION in and appreciation of the art and science of orchestral music in all its aspects by the presentation of public concerts and such other musical events as the Committee shall deem suitable. |
| MEMBERSHIP | The Members of the Society shall be those (playing and non-playing) who pay an annual subscription at the appropriate rate or rates as shall be determined by the Committee. |
| COMMITTEE | The Society shall be managed by a Committee of Trustees, which shall include a President, Hon. Secretary and Hon. Treasurer. Trustees shall serve for two years, and shall be eligible for reelection at the Annual General Meeting. |
| MUSIC WORKING GROUP | The Committee shall be assisted in the promotion of concerts and other musical activities by a Music Working Group. The Musical Director, Conductor and Leader of the Orchestra shall be ex officio members of this Group. At least three but not more than six additional members shall be elected from among Members of the Society at the Annual General Meeting. They shall serve for two years and shall be eligible for re-election. |
| FINANCE | BANKING ACCOUNTS shall be operated in the name of the Society. Cheques shall bear two signatures, one being that of a Trustee and the other another Trustee or member of the Music Working Group appointed for this duty by the Committee. The FINANCIAL YEAR shall end on 31st March, after which the ACCOUNTS shall be presented to Members for approval at the Annual General Meeting.The Society may receive DONATIONS, GRANTS in Aid and FINANCIAL GUARANTEES, and tickets for any or all of its concerts or other events may be offered for sale to the public. The income and property of the Society howsoever and whensoever derived shall be devoted solely towards promoting the objects of the Society. No portion thereof shall be paid or transferred to any Member or Members of the Society except in payment of legitimate expenses incurred on behalf of the Society. |
| ANNUAL GENERAL MEETING | Within three months of the end of each financial year the Members shall be summoned to an Annual General Meeting of which at least fourteen days notice in writing shall have been given. |
| DISSOLUTION | In the event of the Society being wound up, any assets remaining after payment of proper debts and liabilities shall be transferred to a charitable institution or institutions, having similar objects to those of the Society. |
| AMENDMENTS to CONSTITUTION | The CONSTITUTION may be amended by a two~-thirds majority of members present at an Annual or Special General Meeting, provided that fourteen days' notice in writing has been sent to all members, provided that no amendment is made to the Objects Clause, Dissolution Clause or this Clause until the prior written approval of the Charity Commissioners or other authority having charitable jurisdiction shall have been obtained and that nothing herein contained shall have the effect of the Society ceasing to be a Charity. |
